Whoops, an inquorate meeting! Not that there was much on the agenda.

HIGHLIGHTS

22:30:22 <Noodles> [item 1, Opening] Welcome to today's Software in
the Public Interest board of directors meeting, which is now called to
order. Today's agenda and details of pending resolutions can be found
on the web at:
http://www.spi-inc.org/meetings/agendas/2011/2011-10-12/

22:30:34 <Noodles> [item 2, Roll Call]
22:30:50 <zobel> Martin Zobel-Helas
22:30:52 <Solver> Robert Brockway
22:30:53 <Noodles> Jonathan McDowell
22:30:57 <Hydroxide> Jimmy Kaplowitz

22:31:51 <schultmc> Michael Schultheiss
22:32:06 <Noodles> Regrets have been received from Ganneff, bdale and schultmc (who's turned up anyway).

22:32:16 <Hydroxide> if we can find Joshua Drake, we actually have
quorum. well, for the directors and members/observers who are here:
we will probably proceed to vote on the Fluxbox resolution via email -
I don't think there's a reason to go to great lengths to do it during
the meeting, since it's not controversial and the required unanimity
for email voting should be doable. similarly, I don't think there's a
reason to go to great lengths to get the minutes approved today as
opposed to next meeting, if quorum is an obstacle.

TIMED LOG

22:30:18 <Noodles> *GAVEL*
22:30:22 <Noodles> [item 1, Opening] Welcome to today's Software in the Public Interest board of directors meeting, which is now called to order.
22:30:29 <Noodles> Today's agenda and details of pending resolutions can be found on the web at: http://www.spi-inc.org/meetings/agendas/2011/2011-10-12/
22:30:34 <Noodles> [item 2, Roll Call]
22:30:38 <Noodles> Board members, please state your name for the record. As we have nine board members, quorum for today's meeting is six.
22:30:43 <Noodles> Guests (including board advisors), please /msg your names to me (Noodles) if you wish your attendance to be recorded in the minutes of this meeting.
22:30:50 <zobel> Martin Zobel-Helas
22:30:52 <Solver> Robert Brockway
22:30:53 <Noodles> Jonathan McDowell
22:30:57 <Hydroxide> Jimmy Kaplowitz
22:31:51 <schultmc> Michael Schultheiss
22:32:06 <Noodles> Regrets have been received from Ganneff, bdale and schultmc (who's turned up anyway).
22:32:16 <Hydroxide> if we can find Joshua Drake, we actually have quorum
22:32:28 - yp17!~yp17(at)tal33-4-82-244-80-154(dot)fbx(dot)proxad(dot)net has joined #spi
22:32:29 <Hydroxide> or Clint Adams, actually
22:32:39 <schultmc> I may need to leave shortly but thought I'd connect while around
22:32:56 <Noodles> So ideally we need both to maintain quorum.
22:33:42 <zobel> can someone who has the numbers SMS the both?
22:34:12 <Hydroxide> I just /msg'ed clint - surprisingly I don't have his phone number even though I live in the same city
22:34:16 <Noodles> I don't think I have details for either of them.
22:34:31 <Solver> We should fix that
22:34:47 <Hydroxide> yes
22:35:16 <Solver> We know where Clint works right? so we could call there
22:36:04 <Hydroxide> well, for the directors and members/observers who are here: we will probably proceed to vote on the Fluxbox resolution via email - I don't think there's a reason to go to great lengths to do it during the meeting, since it's not controversial and the required unanimity for email voting should be doable
22:36:26 <Hydroxide> similarly, I don't think there's a reason to go to great lengths to get the minutes approved today as opposed to next meeting, if quorum is an obstacle
22:36:38 <Noodles> Agreed; we don't have anything that urgent outstanding.
22:36:57 <Noodles> I did wonder if we wanted to change our timings given the end of Northern Hemisphere daylight savings.
22:37:07 <Noodles> (Read: It would be convenient to me if we did so.)
22:37:20 <Solver> earlier or later?
22:37:20 <zobel> Noodles: we depend on Solver here
22:37:23 <Noodles> But I'm not sure if that then causes Solver issues?
22:37:38 <Noodles> Solver: 1 hour later, so it stays at 1:30pm local time for me.
22:37:42 <Hydroxide> Noodles: we can discuss that, certainly. :) none of the other absences seem to be a recurring thing, though. multiple unrelated one-off conflicts
22:37:57 <Solver> ah so it would go from 6:30am to 7:30am for me then
22:38:02 <Solver> either is fine for me
22:38:04 <Noodles> zobel: Does that work for you? I know you've prefered earlier times?
22:38:17 - Guest13332 is now known as part
22:38:49 - gio!~gio(at)109(dot)55(dot)199(dot)185 has joined #spi
22:39:20 <zobel> DST ends here by end of October, which should result for Ganneff and me to be 22:30 again.
22:39:35 <zobel> so yes
22:39:50 <zobel> if i calculated the right way.
22:39:53 <Hydroxide> I'm fine with either time myself, though we should email the board about any proposed changes to see what the remaining 4 directors have to say, and also make the change evident from our email announcements
22:39:56 <zobel> i hate DST....
22:40:09 <Hydroxide> zobel: yes, I believe both North American and European DST/summer time end between this meeting and next
22:40:17 <Noodles> Yes, I'll mail board@, just wanted to check it suited people here first - I think we span the entire board timezone range at present. :)
22:40:25 <Hydroxide> we do :-)
22:40:44 <Noodles> Can I suggest we abandon the meeting? It's been 10 minutes and no sign of Clint or Joshua.
22:41:00 <zobel> Clint: ^
22:41:00 <Solver> np. while we are here I did want to raise one thing informally
22:41:01 <Hydroxide> so, just to be clear, the time would be 19:30 UTC on the second wednesday of each month until further notice (such as around the start of DST 2012)?
22:41:09 <Solver> Hydroxide and i discussed it yesterday
22:41:24 <Noodles> Hydroxide: That sounds correct.
22:41:31 <Hydroxide> cool
22:41:33 <Solver> I just wanted to get thoughts on D&O insurance as posted to -board a while back
22:41:42 <Noodles> We would maintain a meeting time of 20:30 London Local Time. :)
22:41:58 <Noodles> No. That's not right. Er. 21:30 UTC.
22:42:12 <zobel> for me personaly it would help to move away from wednesday, but i fear that will not happen soon
22:42:34 <Solver> I'm flexible on day
22:42:39 <Hydroxide> I don't have a strong day pref.
22:42:46 <Solver> being early morning here I don't have committments at this time of the morning :)
22:43:12 <zobel> i miss every second meeting of our ambulance unit atm...
22:43:14 <Noodles> I think Tuesday would be tricky for me (I have a 2pm meeting), but other than that I'm flexible.
22:43:19 <zobel> du to time conflict.
22:43:27 <Solver> zobel: ah bummer. I'd be ok with a change
22:43:29 <Noodles> We should probably have a list discussion.
22:44:58 <Hydroxide> ok
22:45:09 <Solver> sounds good. Any thoughts on D&O? We'd like to get pricing and present it to the board
22:45:21 <Noodles> I think getting pricing is reasonable.
22:45:26 <Noodles> I've no idea how much such things cost.
22:46:02 <Solver> not expensive in my experience
22:46:18 <Hydroxide> ok, I'm willing to make some phone calls / Internet inquiries and have some info within the next month
22:46:52 <Solver> great thanks
22:48:22 <Noodles> I suppose I should::
22:48:24 <Noodles> *GAVEL*

Hope that informs,
