As specified in resolution 2004-06-01.dbg.2 SPI will hold an election to
replace all members of the board of directors whose term has expired or
will expire during the election period.

This year the terms of Ean Schuessler and Wichert Akkerman have ended
and their positions are open for reelection.

Three candidates have volunteered for a position on the board of
directors:

Bdale Garbee
Branden Robinson
Michael Greb

From July 15 to the end of July 28 all contributing members can vote on
the candidates via the web interface at https://members.spi-inc.org/vote/ .
Voting will be done as usual using the Condorcet election method system
using Cloneproof/Schwartz Sequential Dropping.

Wichert.

Isn't Branden already on the board of directors? The June 1st board
meeting minutes [0] lists him as attending and voting. There hasn't been
any indication since then that he's resigned or that his term has expired.

aj

Branden recently relinquished the position of treasurer.

Thanks

Branden relinquished the position of treasurer over six months ago,
going by resolution "2004-01-06.jrk.1.br.1" [0]; Jimmy Kaplowitz was
appointed as treasurer replacing Branden on the 20th Feb, four and a
half months ago. Wichert wrote in the message announcing that [1] that
"Branden will continue to serve on the board of directors." In the next
meeting of the board, on March 2nd [2], there was a vote amongst the
board on "Branden's reappointment", which you voted in favour of. The
next vote ("Suspension of by-laws vote") was voted on by you, Branden
and Jimmy along with the rest of the board.

So, I repeat, isn't Branden already on the board of directors?

Cheers,
aj

The answer is in the minutes you cited:

Resolution 2004-01-06.jrk.1.br.1 replaced Branden Robinson with Jimmy
Kaplowitz as treasurer but did not explicitly remove Branden from
the board
of directors. Ean declared that as president he was willing to
accept legal
responsibility for allowing Branden on the board until elections can
be held
for his position. David proposed resolution 2004-03-02.db1.1 to appoint
Branden to the board of directors as an interim member until the next
annual meeting. Ian seconded the motion and Ean called for a vote:

Branden: abstains
Bruce : in favour
David : in favour
Ean : in favour
Ian : in favour
Jimmy : in favour
Joey : abstains
John : in favour
Mako : in favour

The resolution is accepted with seven votes in favour and none against.

The annual meeting was held on 1 July. Which leads me to think that
Branden is not currently on the board, unless there has been another
interim resolution (I missed the meeting).

Thanks

Bruce

In the interest of continuity I believe we decided that board members would
continue to serve until they or their replacements are elected.
